Terms & Conditions

Last updated: 16 October 2026
Terms & ConditionsPrivacy PolicyCookie Policy

These terms are a legally binding agreement between you and BrightStudy for using the BrightStudy website (brightstudy.ai), the BrightStudy mobile apps and every feature inside them, wherever in the world you use them. By creating an account, or by using the Service, you agree to these terms and confirm you have read our Privacy Policy. If you do not agree, do not use BrightStudy.

The short version

  • You own what you upload. We only use it to run the features you ask for, and we never sell it.
  • AI-generated summaries, flashcards, questions and tutor answers can be wrong. Check them before you rely on them. BrightStudy is a study aid, not professional advice.
  • You must be at least 13, or older if your country requires it. Below the age of digital consent where you live, a parent, guardian or school must agree for you.
  • Anything you publish to the Community Library can be read and downloaded by other members. Only share what you have the right to share.
  • Be respectful. We remove illegal and harmful content, can suspend accounts that break these terms, and you can appeal our decisions.
  • BrightStudy is free today, provided “as is”, and our liability is limited as far as the law allows. Your legal rights as a consumer are not affected.

1. About these terms

BrightStudy (“BrightStudy”, “we”, “us”, “our”) is operated by BrightStudy. BrightStudy is an AI-assisted study workspace. You can upload notes, documents, photos and recordings; turn them into study documents, flashcards and multiple-choice questions; practise with spaced repetition and tests; plan with a study calendar; talk to AI tutors; share with friends and study groups; and use a shared Community Library.

“Service” means all of that, on web and mobile, including any updates, content and features we add. “Member”, “user” or “you” means anyone with a BrightStudy account or using the Service. If you use BrightStudy on behalf of a school or other organisation, “you” also includes that organisation.

These terms include our Privacy Policy and any extra rules shown where you use a particular feature. If there is a conflict, the feature rules apply to that feature, then these terms. We may provide translations for convenience. If a translation differs from the English version, the English version applies, unless the law where you live says otherwise.

2. Who can use BrightStudy

  • Minimum age. You must be at least 13 years old to use BrightStudy. In some countries the minimum age to agree to an online service yourself is higher (for example 14, 15 or 16 in several European countries, 14 in South Korea, and 18 in India). If you are below that age where you live, you may only use BrightStudy with the consent and supervision of a parent, legal guardian or your school (see sections 3 and 4). Chat (direct messages and group chats) is only for verified members aged 18 or over (see section 11).
  • Under 13. Children under 13 must not create their own account or give us personal information. They may only use BrightStudy through an account set up and supervised by a parent, guardian or school that has given any consent the law requires.
  • Capacity. By agreeing to these terms, you confirm that you are old enough and legally able to do so, or that your parent, guardian or school has agreed to them for you.
  • Who may not use BrightStudy. You must not use BrightStudy if we have previously closed your account for breaking these terms; if you are barred from receiving services under the laws of the UK, the European Union, the United States or any other applicable country; or if using the Service would break the law where you are.
  • Personal use. BrightStudy is for personal, educational, non-commercial use unless we agree otherwise in writing.

We may ask you to confirm your age or a parent’s consent. If we learn that a member is below the required age without the consent the law requires, we will suspend or delete the account.

3. Parents, guardians and young members

If you are a parent or guardian and you allow a child to use BrightStudy, or you set up an account for them, you:

  • agree to these terms on the child’s behalf and give any consent the law requires for us to process their personal information as described in our Privacy Policy;
  • are responsible for supervising their use of the Service, including chat, study groups, friend requests, the Community Library and the AI tutors, and for deciding whether those features are suitable for them;
  • are responsible for their activity on the account and for any breach of these terms by them, to the extent the law allows; and
  • can contact us at any time at support@brightstudy.ai to review, change or delete the child’s information, or to withdraw consent and close the account.

If you are under 18, please read these terms and the Privacy Policy with a parent or guardian. Never share your password, home address, phone number, school name or photos of yourself with people you meet online, and tell a trusted adult and us if anyone makes you feel uncomfortable.

4. Schools and organisations

If a school, university, tutoring provider or other organisation (an “Organisation”) sets up or manages accounts for its students or staff, the Organisation confirms that:

  • it is authorised to accept these terms for itself and its users and will make them aware of these terms and our Privacy Policy;
  • it has obtained every consent, and given every notice, that the law requires before providing BrightStudy to its users, including parental consent for children where needed (for example under the US Children’s Online Privacy Protection Act, the school may consent on parents’ behalf only for educational use);
  • it is responsible for how it uses BrightStudy, for the accounts it creates and the temporary passwords it issues, and for its users’ compliance with these terms; and
  • where it decides why and how student information is processed, it is the data controller (or equivalent) for that information and we process it on its instructions. Where the US Family Educational Rights and Privacy Act (FERPA) applies, we act as a “school official” with a legitimate educational interest and use education records only for the Organisation’s purposes.

We may agree separate written terms with an Organisation. If we do, those terms apply to the Organisation in addition to these terms.

5. Your account

Accounts are created by signing up in the BrightStudy mobile app, or by a BrightStudy administrator or an Organisation on your behalf. When you have an account:

  • Give accurate information and keep it up to date, including your email address, which we use to sign you in, send password-reset codes and contact you about the Service.
  • Choose a username and a “name shown to friends” that are not offensive, misleading, infringing or impersonating someone else. Other members can find you by your username. We may change or reclaim a username that breaks these terms.
  • Keep your password secret, use a strong password you don’t use elsewhere, and don’t share your account. You are responsible for all activity on your account unless it happened because of our failure to take reasonable care. If you receive a temporary password, change it when you next sign in.
  • Tell us straight away at support@brightstudy.ai if you think someone else has accessed your account.

Each account is for one person. Don’t create accounts with automated tools, create an account for someone else without their permission, or sell, transfer, lend or rent your account. You agree that we may communicate with you electronically (in the app, on our website or by email), and that electronic notices meet any legal requirement for written communication.

6. Price and paid plans

BrightStudy is currently free to use, and we do not take payment details. We may introduce paid plans, add-ons or usage limits in the future. If we do:

  • we will show the price (including any taxes), what is included, how billing and automatic renewal work, how to cancel, and your refund and cancellation rights before you are asked to pay;
  • you will not be charged unless you actively choose a paid plan, and separate payment terms will apply; and
  • consumers in the UK, EU and other places that give a right to cancel a digital service will keep that right, as explained at checkout.

Plan descriptions on our pricing page are for information only until checkout is available. We may set fair-use limits on resource-heavy features (for example AI generation, transcription, image creation or storage) to keep the Service available for everyone, and we may change those limits.

7. Your content

“Your content” means everything you put into BrightStudy: files, photos, recordings, YouTube links, notes, documents, flashcards, questions, calendar items, messages, posts, prompts and settings, plus the study material generated from them for you.

You keep ownership

You keep all rights you have in your content. You give BrightStudy a worldwide, non-exclusive, royalty-free, sublicensable (only to our service providers) licence to host, store, copy, process, transform, translate, analyse and display your content as needed to run, secure and support the Service for you and the people you choose to share with, and to comply with the law. For example, that includes sending a document to an AI provider to create flashcards, or transcribing a recording. This licence ends when your content is deleted, except for copies you have already shared or published (see sections 10 and 11), copies we must keep by law, and short-lived backups.

We do not sell your content, and we do not use it to train our own or anyone else’s general AI models. We may create aggregated or de-identified statistics that cannot reasonably identify you (for example how many flashcards are reviewed each day) and use them to run and improve the Service.

Your responsibilities

  • You confirm that you own your content or have every right, licence and permission needed to upload it and to let us use it as these terms describe, and that it does not break the law or anyone’s rights.
  • Textbooks, lecture slides, past papers, mark schemes and recordings of lectures are often protected by copyright or by your institution’s rules. Keep that material for your own private study unless you have permission to share it, and only record lectures or other people where you are allowed to.
  • Avoid uploading other people’s personal information or sensitive personal information (for example health records) unless you have a good reason and the right to do so. If you upload information about other people, you are responsible for doing so lawfully.
  • Keep your own copies of anything important. BrightStudy is not a backup or archive service, and content can be lost.

We are not obliged to monitor content, but we may review, screen, refuse or remove any content that we reasonably believe breaks these terms or the law, or that could harm members, third parties or BrightStudy.

8. AI-generated study material

Many features use artificial intelligence from third-party providers: study documents and summaries, flashcards, multiple-choice questions and explanations, infographics and images, transcription, text-to-speech, the AI tutors, study-plan suggestions, proofreading and safety screening. Our Privacy Policy lists those providers.

  • It can be wrong. AI output can be inaccurate, incomplete, out of date, biased or offensive, can “make up” facts, sources and references, and can sound confident when it is wrong. Treat it as a study aid, not an authority. Always check it against your course materials, textbooks and teachers before relying on it, especially before an exam.
  • Exams and syllabuses. Exam names, specifications, boards and syllabuses are used only to organise and personalise your study. BrightStudy is not affiliated with, endorsed by or approved by any exam board, school, university or awarding body unless we say so expressly. Their names and marks belong to them. Specifications change, so always check the official version.
  • Using the output. As between you and us, you may use the study material generated for you for your own learning. Similar or identical output may be generated for other members, so it is not unique to you, and we make no promise that it is free of third-party rights.
  • AI tutors are not people. The tutors and characters in BrightStudy are AI. They do not know you, cannot verify facts, and are not teachers, counsellors or professionals. Don’t share passwords or sensitive personal details with them.
  • Safeguards. You must not use the AI features to create unlawful, harmful, sexual, violent, hateful, deceptive or infringing content, to create content about real people without their permission, or to try to get around their safeguards (for example by “jailbreaking” prompts).

9. Not professional advice or an emergency service

Nothing in BrightStudy is medical, mental-health, legal, financial, careers, immigration or other professional advice, even when you study those subjects or an AI tutor appears to give it. Do not use BrightStudy to make decisions about patients, clients, safety-critical work or your own health.

BrightStudy is not an emergency or crisis service and is not monitored in real time. If you or someone else is in danger, or you are thinking about harming yourself, contact your local emergency number straight away (for example 999 in the UK, 112 in the EU, 911 in the US) or a local crisis line, and talk to a trusted adult, teacher or doctor.

10. Community Library

The Community Library lets members publish study documents, flashcard decks and MCQ sets for other signed-in members to read, save, rate and download.

  • What is published. When you contribute, BrightStudy publishes a copy (a snapshot) of the item. Later edits to your own copy don’t change the published version.
  • Review. Every contribution is automatically screened for safety and then reviewed by an administrator before it appears. We may refuse, edit labels, categories or titles on, or remove any contribution at our discretion, and we are not obliged to publish anything.
  • Credit. Contributions show your username unless you choose to publish anonymously. Administrators can still see who contributed an anonymous item, and we may disclose it where the law requires.
  • Licence to BrightStudy and members. By publishing, you confirm you have the right to share the item, and you give BrightStudy and every BrightStudy member a worldwide, non-exclusive, royalty-free, perpetual (except as described under “Unpublishing”) licence to view, download, copy, adapt, translate and use it for personal, non-commercial study, within BrightStudy and in their own downloaded copies. You also allow BrightStudy to display, format, reformat, preview and promote the item within the Service.
  • Moral rights. To the extent the law allows, you agree not to assert moral rights (such as the right to object to changes) against BrightStudy or members using the item as these terms allow.
  • Unpublishing. You can unpublish your contributions at any time. That stops new reads and downloads, but copies members have already downloaded stay in their libraries.
  • Using others’ contributions. Library items, including “BrightStudy Official” items, are for your personal study. Don’t republish, sell, or pass them off as your own work outside BrightStudy. Items published by members are their responsibility, not ours, and we do not check them for accuracy.

11. Friends, chat, groups and sharing

  • Chat is 18+ only. Direct messages and group chats are only for members aged 18 or over who have passed our age check. The check is run by our provider AgeVerif, using a selfie age estimate or a credit card check, or by our support team. You must not try to get around the check, use someone else’s verification, or let a person under 18 use your verified account. If we have reason to think a verified member is under 18, we may remove their access to chat.
  • Friends and profiles. Other members can find you by username, view your social profile and send friend requests, unless you set requests to invite-only. Only accepted friends see your “name shown to friends”. You choose who can see your photo, online status, course, interests and contributions. Your bio is visible to all signed-in members, so don’t put personal contact details in it.
  • Profile photos. Only use a photo you have the right to use. It must not be sexual, violent, offensive or of another person without their permission. If you are under 18, we recommend a photo that doesn’t show your face. We may remove any photo that breaks these terms.
  • Chat and groups. Messages you send are delivered to everyone in that conversation or group. Deleting a message hides it from the conversation, but other people may already have read, copied or screenshotted it. Study groups may have members you do not know personally. Group creators and admins are responsible for keeping their groups within these terms.
  • Sharing. When you share an item with a member or send it into a chat, they receive access or a copy. Copies they save stay with them. If you give someone edit permission, they can change your shared item.
  • Blocking and reporting. You can block a member to stop them contacting you. Please report anything that worries you (see section 14).
  • Other members. Apart from the age check, we do not check who members are, and we are not responsible for what other members say or do. Be careful about meeting anyone you know only from BrightStudy, and never meet someone alone if you are under 18.
  • Be kind. Bullying, harassment, threats, hate speech, sexual content, grooming, spam, scams and sharing someone’s private information are not allowed anywhere on BrightStudy.

12. Acceptable use

You must not use BrightStudy, or help anyone else use it, to:

  • upload, generate or share anything illegal, defamatory, obscene, pornographic, violent, terrorist, hateful, harassing, threatening, discriminatory, or harmful to children;
  • encourage or give instructions for self-harm, suicide, eating disorders, weapons, drugs or other dangerous activities;
  • infringe anyone’s copyright, trade marks, privacy, data protection, publicity or other rights;
  • impersonate any person or organisation, or misrepresent your identity, age or connection with anyone;
  • collect or share other people’s personal information without their permission, or “dox” anyone;
  • spread deliberate misinformation, run scams, phishing or fraud, or sell or advertise goods or services;
  • access, or try to access, other members’ accounts, files or data, or areas you are not authorised to use;
  • probe, scan or test the Service’s security, or bypass rate limits, usage limits, access controls or safety filters (unless we have given you written permission for security research);
  • upload viruses or malicious code, or interfere with, disrupt or overload the Service or our providers;
  • scrape, crawl, data-mine or bulk-download the Service or Community Library, use it to train AI models, or use automated means to create accounts, content or traffic;
  • copy, sell, resell, sublicense or build a competing product from the Service, or reverse engineer, decompile or disassemble it except where the law allows despite this restriction;
  • send spam, advertising, chain messages or unsolicited contact to other members; or
  • break any law that applies to you or to us, including export control and sanctions laws.

13. Child safety

We have zero tolerance for child sexual exploitation and abuse. Any content, message or behaviour that sexualises, grooms, exploits or endangers a child is forbidden. We will remove it, permanently close the accounts involved, preserve the relevant information and report it to the appropriate authorities, such as the police, the US National Center for Missing & Exploited Children (NCMEC) or the UK Internet Watch Foundation. If you see anything like this, report it to us immediately at support@brightstudy.ai. If a child is in immediate danger, contact the police first.

14. Safety, moderation and complaints

Reporting

To report content or behaviour that you believe is illegal or breaks these terms, email support@brightstudy.ai with “Report” in the subject. Please include a link to or description of the content or member, where it appeared, why you are reporting it, and your contact details. If you are reporting illegal content, explain why you believe it is illegal and confirm that your report is accurate and made in good faith. You do not need an account to report illegal content.

How we moderate

We use a combination of automated tools (for example AI safety screening of Community contributions), member reports and human review by our administrators. Depending on what we find, we may do nothing, add a warning, limit who can see content, remove content, restrict features, suspend or close an account, or report the matter to the authorities. We act more quickly and firmly when there is a risk to children or to anyone’s safety.

Statement of reasons and appeals

If we remove your content or restrict your account, we will tell you what we did and why, which rule or law it relates to, and whether automated tools were involved, unless the law prevents it or it would put someone at risk. If you disagree with a moderation decision, or with how we handled a report you made, you can complain by replying to our message or emailing support@brightstudy.ai within six months. A person who was not involved in the original decision will review it, and we will tell you the outcome. If we got it wrong, we will reverse it.

If you are in the European Union, you may also refer a dispute about our moderation decisions to a certified out-of-court dispute settlement body under the EU Digital Services Act, and you can always go to court. If you are in the UK, you can also contact Ofcom about our compliance with the Online Safety Act, although Ofcom does not handle individual complaints. Our point of contact for authorities and members under these laws is support@brightstudy.ai, and we can communicate in English.

Misuse of reporting

If someone frequently submits reports that are clearly unfounded, or frequently posts clearly illegal content, we may stop processing their reports or suspend their account after a warning.

15. Copyright and intellectual property complaints

We respect intellectual property rights and expect members to do the same. If you believe content on BrightStudy infringes your copyright or other rights, send a notice to support@brightstudy.ai with “Copyright notice” in the subject, including:

  • your physical or electronic signature, name, postal address, telephone number and email address;
  • identification of the work you say is infringed, and of the content on BrightStudy you say infringes it, with enough detail (such as a link) for us to find it;
  • a statement that you have a good-faith belief that the use is not authorised by the rights owner, its agent or the law; and
  • a statement that the information in your notice is accurate and, under penalty of perjury, that you are the rights owner or authorised to act for them.

We will remove or disable access to content where appropriate and tell the member who posted it. If you believe your content was removed by mistake or misidentification, you can send a counter-notice to the same address with your contact details and signature, identification of the removed content and where it appeared, a statement under penalty of perjury that you have a good-faith belief it was removed by mistake or misidentification, and (if you are in the United States) your consent to the jurisdiction of the federal court for your district, or (if outside the US) any judicial district where we may be found, and to accept service from the person who sent the original notice. We may restore the content unless the complainant tells us that they have started court proceedings.

We will close the accounts of members who repeatedly infringe others’ rights. Sending a notice or counter-notice that you know is false may make you liable for damages.

16. Academic integrity

BrightStudy is built to help you learn. You are responsible for following the rules of your school, university, exam board or professional body. Don’t submit AI-generated material as your own work where that is not allowed, don’t use BrightStudy to cheat, and don’t use it during an exam or assessment unless you are permitted to. We are not responsible for any academic, disciplinary or other consequences of how you use the Service or its output.

17. Third-party services and your own API keys

  • Spotify. If you connect Spotify, your use of it is governed by Spotify’s own terms and privacy policy. Some playback features need Spotify Premium. You can disconnect at any time.
  • YouTube and other links. If you add a YouTube link, we fetch its transcript to make study material. You are responsible for having the right to use that content. Embedded videos are provided by YouTube or Vimeo under their terms, including the YouTube Terms of Service and Google’s Privacy Policy.
  • Your own AI keys. In Settings you can add your own Google Gemini or Azure OpenAI API key. Requests made for you are then billed to your provider account. You are responsible for those charges, for following that provider’s terms, for keeping the key secure, and for removing it when you no longer want us to use it. We are not responsible for charges or limits on your provider account.
  • We do not control and are not responsible for third-party services, websites, apps or content we link to, embed or integrate with, and their availability may change at any time.

18. Mobile apps and app stores

If you download a BrightStudy app from the Apple App Store or Google Play (an “App Store”), the following also applies:

  • These terms are between you and BrightStudy only, not the App Store provider. BrightStudy, not the App Store provider, is responsible for the app and its content.
  • Your licence to use the app is limited to a non-transferable licence to use it on devices you own or control, as allowed by the App Store’s usage rules.
  • The App Store provider has no obligation to provide maintenance or support for the app.
  • If the app fails to meet any applicable warranty, you may notify the App Store provider, which may refund any purchase price you paid for the app. To the extent the law allows, the App Store provider has no other warranty obligation for the app.
  • BrightStudy, not the App Store provider, is responsible for handling any claims relating to the app, including product liability claims, claims that the app does not meet legal or regulatory requirements, consumer protection or privacy claims, and claims that the app infringes a third party’s intellectual property rights.
  • You confirm that you are not in a country subject to a US Government embargo or designated as a “terrorist supporting” country, and that you are not on any US Government list of prohibited or restricted parties.
  • You must also follow any applicable third-party terms (for example your mobile network’s terms) when using the app.
  • Apple and its subsidiaries are third-party beneficiaries of these terms and may enforce them against you as they relate to the app.

We may release app updates that you need to install to keep using the Service. Some features may not be available on every device, operating system or region.

19. Our content, brand and feedback

The Service itself, including its software, code, design, layout, tutor characters, voices, artwork, articles, news content, official study material, question banks, and the BrightStudy name and logo, belongs to BrightStudy or its licensors and is protected by intellectual property laws. Except for your content, all rights not expressly granted to you are reserved. We give you a personal, non-exclusive, non-transferable, revocable licence to use the Service for your own study while you follow these terms. You may not use our name, logo or trade marks without our written permission.

If you send us feedback, suggestions or ideas, you give us a worldwide, perpetual, irrevocable, royalty-free licence to use them for any purpose without any obligation to you.

20. Changes, beta features and availability

We are continually improving BrightStudy, so features may be added, changed, limited or removed, and we also rely on third-party providers whose services can change or stop. If we remove a significant feature you rely on, we will try to give you reasonable notice and a way to export or keep the affected content.

Some features may be labelled “beta”, “preview”, “experimental” or similar. They are provided for testing, may not work as expected, and may change or be withdrawn at any time.

We work hard to keep BrightStudy available, but it may sometimes be slow, unavailable or interrupted for maintenance, updates or reasons outside our control, such as failures of hosting, AI or internet providers, power cuts, cyber-attacks, natural disasters, war, strikes, pandemics or government action. We are not responsible for delays or failures caused by events outside our reasonable control.

21. Suspension and termination

We may remove content, limit features, or suspend or close your account, with or without notice, if you seriously or repeatedly break these terms, if we reasonably suspect fraud, abuse or illegal activity, if we must do so by law or at the request of a court or authority, to protect members, third parties or the Service, or if your account has been inactive for a long period (in that case we will warn you first). Where reasonable we will tell you why and give you a chance to respond, appeal (see section 14) or download your content first, unless that would cause harm, compromise an investigation or break the law.

We may also stop providing the Service altogether. If we do, we will give you reasonable notice and an opportunity to download your content, unless we cannot reasonably do so.

22. Deleting your account

You can stop using BrightStudy at any time. You can permanently delete your account from the Profile screen in the mobile app, or by emailing support@brightstudy.ai from your account’s email address. Deletion removes your account, your study content and your uploaded files, as explained in the Privacy Policy. It cannot be undone, so download anything you want to keep first. Items you published or shared that other members already copied may remain with them.

When these terms end, your right to use the Service ends. Sections 7 (licences for content already shared), 8, 9, 10, 12, 15, 19 and 23 to 28 continue to apply, together with any other terms that by their nature should survive.

23. Disclaimers

The Service and all content, AI output and study material in it are provided “as is” and “as available”, without warranties of any kind. To the fullest extent the law allows, we disclaim all warranties, whether express, implied or statutory, including implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, accuracy, title and non-infringement.

We do not promise that the Service will be uninterrupted, timely, secure or error-free, that content will not be lost, that AI output or member content is accurate, complete or reliable, or that using BrightStudy will lead to particular grades, exam results, admissions or outcomes. Readiness scores, mastery levels, predictions and study plans are estimates, not guarantees.

Some countries do not allow certain warranties to be excluded, so some of these exclusions may not apply to you. Nothing in these terms affects your legal rights as a consumer that cannot be excluded or limited, such as rights under the UK Consumer Rights Act 2015 or the consumer laws of your EU country.

24. Limits on our liability

  • What we never exclude. We do not exclude or limit our liability where it would be unlawful to do so. That includes liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, and for anything else that cannot be limited under the law that applies to you.
  • Consumers in the UK and EU. If you are a consumer in the UK or the EU, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking these terms or failing to use reasonable care and skill. We are not responsible for loss or damage that was not foreseeable. If digital content we supply damages a device or digital content belonging to you because we did not use reasonable care and skill, we will either repair the damage or pay you compensation.
  • Losses we are not responsible for. BrightStudy is for personal, educational use. To the extent the law allows, we are not liable for any loss of profit, revenue, business, business opportunity, goodwill or anticipated savings, or for any indirect, incidental, special, consequential, exemplary or punitive damages, even if we were told they were possible.
  • Things outside our responsibility. To the extent the law allows, we are not responsible for loss of content you did not back up, for AI output or member content you relied on without checking it, for academic or exam outcomes, for content posted or actions taken by other members, for third-party services, or for events outside our reasonable control.
  • Overall cap. To the extent the law allows, our total liability to you for all claims arising out of or relating to these terms or the Service is limited to the greater of (a) the total amount you paid us for the Service in the 12 months before the event giving rise to the claim, and (b) £100 (or the equivalent in your local currency).

These limits apply whatever the legal basis of the claim (contract, tort including negligence, breach of statutory duty or otherwise), and they reflect a reasonable allocation of risk for a service that is currently provided free of charge.

25. Your responsibility for claims

To the extent the law allows, you agree to defend, indemnify and hold harmless BrightStudy, BrightStudy and their officers, staff, contractors and providers from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) brought by a third party and arising from your content, your use or misuse of the Service, your breach of these terms, or your violation of any law or the rights of another person. We will tell you about any such claim and may take control of its defence at our own cost. This section does not apply to consumers in the UK or EU, or anywhere else, to the extent it would be unfair or unenforceable under local law, and you will not be responsible for losses caused by our own breach or negligence.

26. Governing law and disputes

Please contact us first if you have a complaint, at support@brightstudy.ai. Most problems can be fixed quickly and informally, and we will try to resolve your complaint within 30 days.

  • General rule. These terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or the Service are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
  • Consumers in the UK. If you live in Scotland or Northern Ireland, you can also bring proceedings in your home courts.
  • Consumers in the EU and elsewhere. If you are a consumer living in the European Union or another country whose law gives you this right, you also keep the protection of the mandatory consumer laws of the country where you live, and you can bring proceedings in the courts of that country.
  • United States. If you live in the United States, section 27 applies instead of this section to the extent it differs.

27. Additional terms for members in the United States

Please read this section carefully. It affects your legal rights, including your right to go to court and to bring a class action.

  • Informal resolution. Before starting arbitration or a court case, you and we each agree to send the other a written notice describing the dispute and the relief sought, and to try in good faith to resolve it for at least 60 days.
  • Binding arbitration. If the dispute is not resolved, you and BrightStudy agree that any dispute arising out of or relating to these terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The Federal Arbitration Act governs this section. The arbitration may be conducted by video, telephone or written submissions, or in person in the county where you live. If you start arbitration and your claim is $10,000 or less, we will pay the AAA filing, administrative and arbitrator fees, unless the arbitrator finds your claim frivolous.
  • Exceptions. Either party may bring an individual claim in small claims court, and either party may ask a court for an injunction to stop infringement or misuse of intellectual property or unauthorised access to the Service.
  • Class action waiver. You and we agree that claims may only be brought individually, and not as a plaintiff or class member in any class, collective, consolidated or representative action. The arbitrator may not consolidate claims or award relief to anyone other than the individual party. If this waiver is found unenforceable for a claim, that claim must be heard in court, not in arbitration.
  • Jury trial waiver. To the extent the law allows, if a claim goes to court rather than arbitration, you and we waive any right to a jury trial.
  • 30-day right to opt out. You can opt out of this arbitration agreement by emailing support@brightstudy.ai with your name, account email and a clear statement that you opt out, within 30 days of first accepting these terms. Opting out does not affect any other part of these terms.
  • Time limit. To the extent the law allows, any claim must be started within one year after it arose, or it is permanently barred.
  • State notices. California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (916) 445-1254 or (800) 952-5210.

28. General legal terms

  • Entire agreement. These terms (with the Privacy Policy and any feature rules) are the whole agreement between you and us about the Service and replace any earlier agreements about it.
  • Severability. If any part of these terms is found to be invalid or unenforceable, it will be changed only as much as needed to make it enforceable, and the rest stays in effect.
  • No waiver. If we don’t enforce a right straight away, we can still enforce it later.
  • Transfer. You may not transfer your rights or obligations under these terms without our consent. We may transfer ours to another organisation, for example as part of a merger, acquisition or sale of assets, and your rights will not be reduced as a result.
  • Third parties. Except as stated in section 18 (App Stores), nobody else has any right to enforce these terms, including under the UK Contracts (Rights of Third Parties) Act 1999.
  • Relationship. Nothing in these terms creates a partnership, employment, agency or joint venture between you and us.
  • Export and sanctions. You must comply with all export control and sanctions laws that apply to your use of the Service.
  • Interpretation. Headings and summaries are for convenience only and don’t affect the meaning of these terms. “Including” means “including without limitation”.

29. Changes to these terms

We may update these terms when the Service, the law or our providers change, or to address misuse. The date at the top shows the latest version. If a change significantly affects you, we will tell you in the app or by email at least 14 days before it takes effect, unless the change is needed sooner for legal or safety reasons. If you do not agree to the changes, you can delete your account before they take effect. If you keep using BrightStudy after they take effect, the updated terms apply. Changes do not apply to disputes that arose before they took effect.
